We are a premiere provider of physician and medical personnel for health care providers, including hospitals, medical clinics and telemedicine. Through our Site, we provide our Customers with access to qualified applicants, which may include said applicants’ identities, resumes, work history, and other information that is personal and confidential to the applicants. By using our Services, and accessing the personal information of Applicants, you expressly agree to treat all Applicant information as confidential and proprietary and to ensure that no unauthorized use of Applicant information is made by you, your organization or third parties under your control. You expressly indemnify and hold METROPOLIS harmless from any liability resulting from inadvertent or intentionally disclosure of Applicant information or misuse of Applicant information. METROPOLIS does not conduct background investigations or verify the accuracy and completeness of information and materials provided by Applicants to us. By using our service, you confirm that you are solely responsible for conducting your own background vetting and verification with regard to any Applicant provided to you by METROPOLIS and your agreement that METROPOLIS is not liable to you, in any respect, with regard with an Applicant.
You or your organization can become a customer of METROPOLIS by creating an account with us and selecting a subscriber level of service. We offer multiple subscriber levels of Service based on the scope of Services for which you wish to engage us. Each subscriber level of Services requires the establishment of an Account with us and the monthly electronic payment of subscription fees. If you are interested in establishing a Customer account with us, please follow the prompts on our Site to communicate with us and to learn more about our subscription levels and fees.
In order to receive Services through our Site and to become a subscriber, you must access our Site (via www.Metropolis.tech) and create a Customer Account. We will assist you in creating your Customer Account by sending you a link and instructions once you have entered into a Subscription with us. You will use your Account to login and access our Services.
Once you have become a Subscriber to our Services and established an Account with us, we will commence the deliver to information pertaining to employee candidates and applicants to your Account and you may download such information and materials from your Account. Other Subscribers of our Services may receive the same or similar Applicant information. All information and materials provided to you through your Account is confidential and by using our Services you agree to safeguard and protect the confidentiality of Applicant information.
You understand that any information that you provide to us (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
In the event that you process a payment to us via credit card, you will be required to supply the following information: your credit card number, the expiration date of your credit card, your credit card security number, and your billing address. This information may constitute your Personal Information and is subject to our separate Privacy Policy. We utilize the services of a third-party merchant card processor for purposes of accepting payment for Services purchased through our Site. Our third-party merchant card processor is the only party that has access to and/or maintains any information about your credit card. We do not maintain or store any credit card numbers or associated billing information in our Site or related databases or systems. Thus, your purchase of Services through our Site also subject to the terms and conditions of our third- party merchant card processor, as well as the privacy policy of our processor.

When you enter into a transaction with us, you guarantee that you are above the age of eighteen (18), and that the information you provide us is accurate, complete and current at all times and in all respects. Inaccurate, incomplete or obsolete information may result in the immediate termination of your usage of our Site and your inability to make purchases from us. You are responsible for maintaining the confidentiality of any account and password that you establish with us, including but not limited to the restriction of access to your computer and/or account. WHEN YOU REGISTER FOR A SUBSCRIPTION, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT (A) METROPOLIS (OR OUR THIRD PARTY PAYMENT PROCESSOR) IS AUTHORIZED TO CHARGE YOU ON A MONTHLY, QUARTERLY, ANNUAL, OR OTHER BASIS AS APPLICABLE FOR YOUR SUBSCRIPTION (IN ADDITION TO ANY APPLICABLE TAXES AND OTHER CHARGES) FOR AS LONG AS YOUR SUBSCRIPTION CONTINUES, AND (B) YOUR SUBSCRIPTION IS CONTINUOUS UNTIL YOU CANCEL IT OR WE SUSPEND OR STOP PROVIDING ACCESS TO THE SERVICES IN ACCORDANCE WITH THESE TERMS.

Such cancellation notice must be sent by the designated account owner or an authorized signatory.
Inactivity does not constitute automatic cancellation, so unless you cancel your account in accordance with this section, you will continue to be charged for subscription to the Services.
All cancellation requests will take effect at the end of then-current subscription period in which the cancellation request is made, and you will be responsible for all fees and any applicable taxes and other charges rendered up through the cancellation date.
In the event you cancel your subscription, please note that we may still send you promotional communications about METROPOLIS, unless you opt out of receiving those communications by following the unsubscribe instructions provided therein.

In no event shall METROPOLIS, nor any of its officers, directors, employees, partners, agents, representatives, contractors, suppliers or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use or goodwill, or any other intangible losses, resulting from (i) your access to or use of or inability to access or use the Site; (ii) any conduct or content of any third party on the Site; (iii) any content obtained from the Site or from any Applicant, (iv) unauthorized access, use or alteration of your transmissions to or with us, or (v) any breach of the Terms of Use by METROPOLIS, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have knowledge of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. In addition, neither METROPOLIS nor any of its officers, directors, employees, partners, agents, representatives, contractors, suppliers or affiliates shall be liable for any delay in delivery of any Services to you or failure of any Services to perform for the purpose for which purchased. You are responsible for verifying the accuracy and completeness of any information, materials and/or representations of any Applicant may available to you through the Site and Services. METROPOLIS has no responsibility or liability with regard to any acts or omissions by any Applicant.
The Site and the Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Site and the Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. METROPOLIS, its subsidiaries, affiliates, and its licensors do not warrant that a) the Site or Services will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Site is free of viruses or other harmful components; or d) the results of using the Site will meet your requirements.
In the event that any provision of these Terms of Use is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Use, such determination shall not affect the validity and enforceability of any other remaining provisions.
These Terms of Use shall be governed and construed in accordance with the laws of the State of Texas, United States of America, without regard to conflict of law provisions.
If a dispute arises out of or relates to this Agreement, or the breach thereof, and if the dispute cannot be settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation in accordance with the Commercial Mediation Procedures of the American Arbitration Association before resorting to arbitration, litigation or some other dispute resolution procedure. All claims or disputes not resolved through mediation, including all disputes relating to the scope, validity, or enforceability of this Agreement shall be submitted for binding arbitration to the office of the American Arbitration Association located in Dallas, Texas on demand of either Party. Such arbitration proceedings shall be conducted in accordance with the then-current commercial arbitration rules of the American Arbitration Association. The arbitrator(s) shall have the right to award or include in their award any relief which they may deem proper in the circumstances, including, without limitation, money damages (with interest on unpaid amounts from the due date), specific performance and injunctive relief. Provided, that, to the fullest extent permitted by law, the parties stipulate and agree that the arbitrators shall not provide for, and no arbitration award shall include, any punitive or exemplary damages, all of which are hereby waived by the Parties. The award and decision of the arbitrator(s) shall be conclusive and binding upon all parties and adjustment may be taken on the award notwithstanding the termination or expiration of this Agreement.
Any failure to enforce any right or provision of these Terms shall not be construed as a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms shall remain in full force and effect.
